Terms of Service

1. Acceptance

By creating an account or using WP Cart Recovery ("Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. These terms form a binding agreement between you and WP Cart Recovery.

2. Description of service

WP Cart Recovery is a SaaS tool that connects to your WhatsApp Business account, analyzes incoming conversations using AI, scores purchase intent, identifies abandoned leads, and suggests follow-up messages. The Service is intended for use by businesses operating a WhatsApp Business phone number.

3. Eligibility

You must be at least 18 years old and have authority to bind the business you represent. You must have a valid WhatsApp Business Account in good standing with Meta. You are responsible for ensuring your use of the Service complies with all applicable laws and Meta's WhatsApp Business Policy.

4. Account responsibilities

  • You are responsible for maintaining the security of your account credentials.
  • You must provide accurate information during registration.
  • You must not share your account with unauthorized parties or use the Service to process data for businesses other than your own.
  • You must notify us immediately at [email protected] if you suspect unauthorized access to your account.

5. Acceptable use

You agree not to:

  • Use the Service to send unsolicited messages (spam) to WhatsApp users.
  • Use the Service in a way that violates Meta's WhatsApp Business Policy or Terms of Service.
  • Attempt to reverse-engineer, copy, or resell the Service or any part of it.
  • Use the Service to process sensitive personal data (health, financial, or biometric data) without appropriate safeguards.
  • Interfere with or disrupt the Service's infrastructure or security.

6. WhatsApp data and compliance

You are the data controller for messages sent to and from your WhatsApp Business number. You are responsible for informing your end customers that their messages may be analyzed by automated systems, and for having a lawful basis to process their data. We process this data on your behalf as a data processor.

7. AI-generated content

Suggested follow-up messages generated by the Service are recommendations only. You are solely responsible for reviewing and approving any message before sending it to a customer. We make no warranty that AI suggestions are accurate, appropriate, or effective.

8. Service availability

We provide the Service on a best-effort basis. We do not guarantee uninterrupted availability. We may perform maintenance, upgrades, or suspend the Service with or without notice.

9. Intellectual property

WP Cart Recovery and all related software, designs, and documentation are our exclusive property. Nothing in these Terms grants you ownership of or license to our intellectual property beyond what is necessary to use the Service.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL RECOVER ANY SPECIFIC NUMBER OF LEADS OR GENERATE ANY SPECIFIC REVENUE FOR YOUR BUSINESS.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WP CART RECOVERY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Termination

Either party may terminate the agreement at any time. You may delete your account from the dashboard or by contacting us. We may suspend or terminate your account if you violate these Terms or applicable law. Upon termination, your data will be deleted within 30 days in accordance with our Privacy Policy.

13. Changes to terms

We may update these Terms. We will notify you by email before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of the jurisdiction in which WP Cart Recovery operates, without regard to conflict of law principles.
